1. Acceptance of Kroogi's Download & Contribute Terms of Use

CLICKING TO ACCEPT THIS TOS OR OTHERWISE ACCESSING OR USING THIS SITE OR SERVICE INDICATES THAT YOU AGREE TO THIS TOS. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THESE TERMS AND CONDITIONS, AND "YOU" AND "YOUR" REFER TO THAT ENTITY. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS AND CONDITIONS, DO NOT CLICK TO ACCEPT, AND YOU MAY NOT ACCESS OR USE THE SITE OR SERVICE FOR ANY REASON.


2. Waiting Period for Release of Collected Funds
Every individual contribution made to one of your Projects on Kroogi.com, the Kroogi Downloads Facebook application, or any future Kroogi online experience, will undergo a mandatory waiting period before those funds are available for withdrawal. The waiting period for a single instance of a contribution will be effective immediately after this contribution has been sent to you (“the recipient”) from the individual providing the contribution (“the sender”).

3. Storage of Pending Funds
Funds received on behalf of my Project not yet available for withdrawal will be collected by Kroogi's payment system account.

4. Duration of Waiting Period
The current waiting period for every instance of a contribution is set to 30 days. However, in the event that Kroogi determines a possible fraudulent transaction or has difficulty in determining the validity of the transaction, an additional waiting period could be imposed. The waiting period duration is subject to change on a system-wide or a case-by-case basis under the sole discretion of Kroogi.com.

5. Automatic Deductions
Every contribution collected on behalf of one of the recipient’s Projects on any of Kroogi’s distribution channels will undergo an automatic deduction at the point the value of the contribution is released for withdrawal to the recipient of the contribution. Kroogi will deduct a fixed percentage of the value of the contribution at the point your funds are available for withdrawal to your personal payment system account.

PayPal and Webmoney Contributions: 15.0%
SMS Donation Collection: 8.0%

6. Release of Payment
Kroogi will release the value of the original invoice after applying the automatic deduction. Once the amount is released to the recipient of the contribution, then this amount can be withdrawn to either a personal PayPal or Webmoney USD account. You are required to use either a PayPal or Webmoney USD account to withdraw the amount owed to you.
Removing or altering the payment system connected to the Project will not have any effect on the content’s existence on various Kroogi distribution channels, including Kroogi.com or the Kroogi Downloads Facebook application.

The outstanding payment withdrawn after its release to the recipient will be issued from Kroogi's parent company Your-Net-Works Inc.

7. Ownership
You are required to have complete ownership over the content you upload in the form of a Music Album. A valid payment system is required for any Music Albums that you make downloadable. This is a necessary precaution against content that is illegally distributed on all Kroogi content channels. In order to distribute your content, you must have complete ownership over the uploaded content. Any copyright breach will have direct ramifications on an artist's relationship with Kroogi.com and our parent company Your-Net-Works, Inc. The content that has only partial representation by a said Kroogi user ("Artist intending to participate in our Download & Contribute program") will be immediately taken down, and may cause all content by said Kroogi user to be permanently removed. Any musician under contract is required to research their relationship with their label or official distribution channel before uploading content for purposes of participating in our Download & Contribute program.

8. Distribution
The only content type on Kroogi for purposes of this agreement is a Downloadable Music Album on Kroogi.com ("Music Album") intended for distribution in the following places:

1. Kroogi content Showcase sitting under an account or Project with the Download & Contribute capability activated.
2. Music Albums on the Kroogi Downloads Facebook App with the Download & Contribute capability activated.
NOTE: As of our early September 2009 Kroogi money system release, your Music Albums will no longer be dependent on the respective Project being connected to the PayPal money system. Both an attached PayPal and Webmoney account qualifies your Music Albums for all available Kroogi distribution channels.
3. Future Kroogi Content distribution channels with the Download & Donate capability activated.

9. Meeting the Requirements of this Agreement
By meeting the requirements for participating in our Download & Donate artist program, your content will be distributed to all possible Kroogi content channels where digital content is available for downloads and accepts a form of payment on behalf of the account or project representing the content. Once your content is downloadable ("Downloadable Music Album"), Kroogi will distribute this content in the form of a downloadable .zip file accessible to all registered Kroogi users and Facebook users who have added the Kroogi Downloads Facebook Application.
